MD1Q General Terms and Conditions

Version: 1.0 Effective from: 25 October 2026 Published at: www.md1q.hu/aszf.html, www.md1q.com/terms.html

1. The Provider, the subject of the contract and the scope of these Terms

1.1. Provider: Dataobjects Consulting Kft. (registered office: Árnyas utca 14/a, 2310 Szigetszentmiklós, Hungary; company registration number: 13-09-141656; registry court: Budapest Környéki Törvényszék Cégbírósága (Court of Registration of the Budapest Environs Regional Court); tax number: 23006605-2-13; EU VAT number: HU23006605; represented by Krisztina Bodnár, managing director; e-mail: info@md1q.hu).

1.2. The Provider makes the MD1Q football analytics system (the System) available as a service accessible from a web browser at club.md1q.hu. The User does not install the System and receives no copy of it.

1.3. The subject of the contract is access to the System with the package, plan and limits set out in the user agreement (the Agreement), and the related services ordered in the Agreement (onboarding, training, consultation, custom analysis).

1.4. These General Terms and Conditions (the Terms) apply to orders started on www.md1q.hu or www.md1q.com and completed on club.md1q.hu (online orders), and to every individually concluded Agreement that refers to these Terms.

1.5. The Provider contracts only with business organisations, sports organisations, other legal persons and natural persons acting within their profession or business (together: businesses). By placing an order the Customer declares that it is not acting as a consumer and that it uses the System within its profession or its economic, sporting or professional activity. A sole trader gives its registration number and tax number on the Data sheet, and any other natural person carrying on an independent activity (for example an individual analyst) gives its tax number; failing these, the Provider refuses the order under clause 3.11, point 2. Rules on consumer contracts, in particular Hungarian Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses and the right of withdrawal, do not apply.

1.6. Hosting providers: the server of the System (club.md1q.hu) is operated by Rackforest Zrt. (Victor Hugo utca 11. 5. em. B05001, 1132 Budapest, Hungary; e-mail: info@rackforest.hu); the hosting provider of the websites www.md1q.hu and www.md1q.com is Tárhely.Eu Szolgáltató Kft. (Könyves Kálmán körút 12–14., 1097 Budapest, Hungary; e-mail: support@tarhely.eu).

1.7. The Terms in force are permanently available on the website in printable and downloadable form. The Provider archives earlier versions with their version number and period of effect, and sends them on request.

2. Definitions

  • User: the business that has concluded a contract with the Provider for the use of the System. Before the contract is concluded: Customer.
  • Organisation: the User's separate area in the System, with its own accounts, watched teams and data. Its type is club, media or analyst.
  • Account: a login entitlement tied to one natural person.
  • Superuser: an account designated by the User that manages the Organisation's accounts and watched teams within the limits. In an online order the first user is the organisation manager and a superuser.
  • Role: the setting that determines an account's scope and rights (Executive, Coaching staff, Media, Analyst, Reader, Player).
  • User limit: the maximum number of simultaneously active editing accounts (Executive, Coaching staff, Media, Analyst roles). Reader and Player accounts may have separate limits (clause 4.5).
  • Watched team, Team limit: a team assigned to the Organisation for which team-level analysis is available; the Team limit is the maximum number of such teams (including the own team).
  • User data: what the User or its accounts enter or upload: video, GPS data, injury records, event data from the User's own licence, notes, messages, watchlists.
  • Third-party data: match, player and event data obtained by the Provider (e.g. API-Football, MLSZ Adatbank, provider event data), and public news sources.
  • Output: an analysis, chart, report, dossier, video clip, printed or PDF page produced with the System.
  • Package: a named service level published on the website. Every package includes all modules of the System; packages differ in their limits.
  • Plan: the way the term and payment are arranged: (a) annual contract paid monthly; (b) monthly contract; (c) annual contract paid in advance.

  • Price list: the package, add-on and discount data published on the website on the day of the order.
  • Activation code: the six-digit code sent by club.md1q.hu to the e-mail address given.
  • Data sheet: the form on club.md1q.hu containing the order data.
  • Approval: the act by which the Provider records the payment received and accepts the order.
  • Contract year: the 12 months from the day of Approval, and each following 12-month period.
  • Season: the period from 1 July to 30 June of the following year, unless the Agreement provides otherwise.
  • Working day: a working day in Hungary, between 9:00 and 17:00.

3. Conclusion of the contract and order of precedence

3.1. For individual contracts, the contract is concluded when both parties sign the Agreement; for online orders, by Approval under clause 3.10. The contract consists of the Agreement, the fee schedule (for online orders: the package, plan, price, add-ons, discount and limits recorded in the Agreement), the data processing agreement and these Terms.

3.2. In case of conflict the order of precedence is: Agreement, data processing agreement (with priority on data protection matters), fee schedule, Terms. Package descriptions on the website and the Price list form part of the contract only to the extent recorded in the Agreement.

3.3. The User's own general terms and conditions form part of the contract only if the Provider has expressly accepted them in writing.

3.4. The Provider opens online ordering and may pause it at any time. A pause does not affect orders already submitted.

3.5. Steps of an online order:

1. On www.md1q.hu or www.md1q.com the Customer selects the package and the plan and enters an e-mail address. 2. club.md1q.hu sends a six-digit Activation code to that address, valid for 30 minutes. Repeated code requests and failed attempts are limited. 3. After entering the code, the Customer completes the Data sheet: name of the organisation, type (club, media, analyst), for clubs the own team, registered office, registration number and tax number of the organisation, name, position and contact details of the contracting person, billing data, any discount claim with its justification, and the name and password of the first user. 4. The Customer reviews the data and separately accepts these Terms, the privacy notice and the data processing agreement. 5. The Customer submits the order.

3.6. Correction of input errors: before submission the Customer can review and correct all data on the Data sheet. After submission and until Approval, the Customer may request corrections at info@md1q.hu; the Provider then sends a new Agreement with the corrected data.

3.7. The person completing the Data sheet declares that they are authorised to represent the Customer. The Provider may request proof of this authority.

3.8. After submission the System generates, with the order data, the Agreement matching the Customer's organisation type and contract language and the data processing agreement, and sends them by e-mail together with the accepted version of these Terms. This e-mail confirms receipt of the order (Section 6 of the E-Commerce Act); it is not acceptance of the order. The order then awaits payment. If the confirmation does not arrive within 48 hours of submission, the Customer is released from its offer.

3.9. The order is the Customer's offer. The Customer is bound by its offer until the payment deadline under clause 3.12 expires. A payment made before Approval is advance payment of the fee, not earnest money; if the contract is not concluded, the Provider refunds the amount paid under clause 3.11.

3.10. The contract is concluded and enters into force on the day the Provider records the payment received and approves the order (Approval). On Approval the System automatically creates the Organisation, assigns the ordered package and the add-ons recorded in the Agreement, creates the first user as superuser, and sends a welcome e-mail. There is no free trial.

3.11. The Provider may refuse an order before Approval, in particular if:

1. the authority of the person completing the order cannot be verified; 2. the Customer is not a business, or its data are incomplete or untrue; 3. the discount claim is unjustified (in this case the Provider may offer the order without the discount, clause 11.11); 4. the Customer is a competitor of the Provider, or would use the System for a competitor (clause 5.3); 5. a claim for an earlier breach of contract is outstanding against the Customer.

The Provider notifies the Customer of the refusal by e-mail with a factual reason. If the Customer has already paid, the Provider refunds the amount paid, without interest, to the originating account within 8 days of the refusal; the transfer costs are borne by the Customer. If the Provider has already issued an invoice for the payment, it corrects the invoice in accordance with the law at the same time as the refund.

3.12. If payment is not received within 8 days of the confirmation, the order lapses and the documents sent lose effect.

3.13. Custom-priced package (currently: Diamond). This package has no published price; the path under clause 3.5 is a request for quotation. The Provider makes an individual offer, and the contract is concluded by an individually agreed Agreement in line with that offer.

3.14. The contract is concluded electronically and in writing (Ptk. 6:7(3)); no signature or electronic signature is required. The Provider files the order data, the documents sent and the log of acceptances, and makes them available to the User on request during the term of the contract and within the limitation period.

3.15. These Terms become part of the contract because the Customer could read them before ordering and expressly accepted them (Ptk. 6:78(1)). The System logs each acceptance with the document type, version, language, time and the Customer's IP address.

3.16. The following terms deviate from usual contracting practice or from the default rules of law (Ptk. 6:78(2)): 3.11 (refusal), 4.5 (enforcement of limits), 7.5 (retroactive loss of the discount), 11.3 and 15.4 (suspension), 11.11 (removal of the discount and the difference), 11.12 (price change), 12.1–12.3 (exclusion and limitation of liability), 15.11 and 15.12 (no ordinary termination for annual plans; acceleration of remaining instalments), 16.2 (jurisdiction), 16.5 (amendment of the Terms), 16.6 (deemed delivery). Before acceptance the Provider displays these terms on the Data sheet, separately highlighted, summarised and with a link to the full text of the Terms, and the Customer expressly accepts them with a checkbox separate from the acceptance of the other terms.

3.17. The language of contracting is Hungarian or English under clause 16.4. The Provider has not subscribed to any code of conduct.

4. Access and accounts

4.1. For online orders the Agreement enters into force on the day of Approval; at that point the Provider automatically creates the Organisation under clause 3.10, sets the limits of the package and add-ons, and creates the first user as superuser. For individual contracts the Provider creates the Organisation within 5 working days of the Agreement entering into force, sets the parameters in section 2 of the Agreement, and creates the superuser account(s).

4.2. Each account belongs to one named natural person. An account may not be shared or transferred. An initial password set by the Provider or by a superuser must be changed at first login. In an online order the first user sets their own password on the Data sheet; the System stores passwords only in non-reversible form.

4.3. Within the limits, the superuser may create and disable accounts and add or remove watched teams. Higher limits may be requested in writing through an add-on (up to the package maximum) or a move to a larger package, at the price in the Price list or the fee schedule.

4.4. The User reports any unauthorised use of access credentials, or suspicion of it, without delay at info@md1q.hu. The Provider may then disable the affected account immediately.

4.5. Limits. The package and add-ons determine in particular: the User limit, the number of Reader accounts, the number of Player portal accounts, the number of watched teams, the number of leagues covered, the video storage size and the number of AI texts per month. The Agreement records the limits at the time of the order. The System enforces the limits: once a limit is reached, no further account, team, upload or AI text is created. Unused monthly allowance does not carry over to the next month. The monthly allowance relates to the contract month, that is, the monthly periods counted from the day of Approval. In the league limit every separate competition counts as one: a league, a cup and an international cup alike.

5. Licence and restrictions

5.1. For the term of the contract the Provider grants a non-exclusive, non-transferable, non-sublicensable right to use the System as set out in the Agreement, for the User's own activity.

5.2. The System, its source code, data model, calculation methods, metric catalogue and interface are the intellectual property of the Provider.

5.3. The User may not:

1. reverse engineer, copy or modify the System; 2. extract data from the System with automated tools (robots, scripts, bulk download), except through the Reader API ordered in the Agreement; 3. give a competitor of the Provider access to the System, or document the operation of the System for a competitor; 4. rent out the use of the System or resell it as a service to third parties, except the transfer of Output expressly permitted in the Agreement; 5. circumvent security measures or intentionally overload the System.

6. Data

6.1. User data. User data remain the User's. The Provider uses them only to provide the service, to fix faults and at the User's request. User data are visible only within the User's own Organisation; no other organisation has access to them.

6.2. Third-party data. The User may use these data only within the System, for its own activity. Passing on all or a substantial part of them, republishing them or selling them as a database is prohibited. The terms of the data producer (in particular the terms of use of MLSZ Adatbank) also bind the User.

6.3. Provider licence and own licence. Coordinate event data, provider video, contract and market value data are available only if the Agreement records their source. If the User loads data from its own contract (e.g. Hudl Wyscout, Hudl StatsBomb, Stats Perform), the User is responsible for the lawfulness of the upload and for compliance with the licence terms. Such data are visible only in the User's own Organisation.

6.4. Attribution of third-party sources. The attribution of a third-party source in an Output (e.g. "Data source: MLSZ Adatbank") may not be omitted in a public communication, regardless of the choice under section 7.

6.5. Missing data. The System does not fill missing data with estimates: where the source provides no data, the System says so, and shows the sample size next to the figures. Coverage of a league or metric depends on the source; the Provider undertakes no coverage beyond the competitions listed in the Agreement.

7. Outputs, source attribution, MD1Q mark

7.1. The User may use Outputs for its own internal purposes without restriction. Public communication and transfer to third parties are governed by the Agreement.

7.2. Attribution levels. The Agreement records one of the following levels for Outputs published or transferred to third parties:

LevelUser's undertakingStandard text
0. NoneAttribution not required; the Agreement records whether this level can be chosen, and with or without a surchargenone
1. BasicText attribution with every published figure, chart and table"Forrás: MD1Q (md1q.hu)" / "Source: MD1Q (md1q.hu)"
2. EnhancedLevel 1, plus a working link to md1q.hu online, and on-screen or spoken attribution in moving images"Data and analysis: MD1Q" + link
3. PartnerLevel 2, plus the MD1Q logo according to the Provider's brand guidelines, and a named partner credit"Analytics partner: MD1Q"

7.3. Where an Output carries the MD1Q mark placed by the System (watermark, footer, source line), it may not be removed or covered, except at level 0.

7.4. Attribution does not mean that the Provider has approved the content, conclusions or opinions of the User's communication. The User may not attribute to the Provider any statement that is not contained in the Output.

7.5. The Provider collects no personal data to check attribution; in case of omission it requests the User in writing to complete the communication within 5 working days. In case of repeated omission, any discount granted for attribution lapses retroactively from the day of the omission.

7.6. For online orders the Agreement records level 1; deviation is possible by individual agreement.

8. Service level and support

8.1. Availability. The System is available if login and the pages listed in the Agreement work from a browser. Monthly availability is calculated excluding announced maintenance, faults on the User's side, outages of third-party data sources and force majeure. The committed level and any credit are set out in the Agreement; no level is committed during a pilot.

8.2. Maintenance. The Provider announces planned maintenance at least 24 hours in advance and, where possible, performs it outside working hours and not on match days.

8.3. Support. Fault reports: info@md1q.hu, from the contacts named in the Agreement. A report states the affected page, the time and a description of the fault.

8.4. Fault classes and response times (in working days, for subscriptions; for a pilot the response times are targets):

ClassDescriptionFirst responseResolution or workaround
Criticalthe System is unavailable, or a match-day function does not work8 hours1 working day
Majora page or function gives a wrong result or does not work1 working day5 working days
Otherquestion, cosmetic fault, feature request2 working daysnext release

8.5. Development. The System develops continuously; new functions are available to the roles under the Agreement without a price increase, except modules priced separately in the fee schedule or the Price list. The Provider may discontinue a function named in the Agreement during the term only after at least 30 days' notice; in that case the User may terminate with immediate effect against the pro rata fee for the remaining period.

8.6. Continuity. The service is provided and operated by Dataobjects Consulting Kft. as a business organisation; continuity of the service does not depend on any single natural person. A source code escrow is established only under an individual Agreement.

9. Security and backup

9.1. The System is accessible only over an encrypted (HTTPS) connection. The System stores passwords in non-reversible form.

9.2. The Organisations' data are logically separated. The Provider's system administrator accesses User data only for operation, fault fixing or at the User's request.

9.3. The Provider makes a daily backup of User data, kept for 30 days in a location separate from the server. Recovery targets: data loss of no more than 24 hours, restart within 2 working days.

9.4. The Provider notifies the User of a security incident affecting User data without undue delay after becoming aware of it, and no later than 24 hours.

10. Data protection

10.1. For personal data processed in the System (accounts, players' GPS and injury data, messages, video recordings), the User is the controller and the Provider is the processor (Article 28 GDPR). Details are set out in the data processing agreement.

10.2. Injury records are health data (Article 9 GDPR). Before entering them, the User must have a valid legal basis and must inform the data subjects. The User enters diagnosis-level data only where needed for the professional purpose.

10.3. The System logs logins and page views; the log is visible to the Organisation's superuser and to the Provider's system administrator. The User informs the account holders of this.

10.4. Third-party player data in the System (name, date of birth, match statistics) are public sports data; the User is responsible as controller for its own processing of them (e.g. watchlists, notes).

10.5. Sub-processors: the server is operated by Rackforest Zrt. (Hungary, Budapest data centre); e-mail provider: Tárhely.Eu Szolgáltató Kft., Hungary; backup provider: Rackforest Zrt., Hungary. The current list is in Appendix 1 of the data processing agreement. The Provider gives 30 days' notice of any new sub-processor; the User may object.

10.6. AI text. The System can produce machine-written summaries from measured facts. This function uses Anthropic's service; for customers in the EEA the contracting party is Anthropic Ireland, Limited, and processing takes place in the United States (Anthropic PBC). When switched on, the function involves a transfer of data to a third country, with the safeguards set out in the data processing agreement. The function can be switched off per Organisation; when it is off, the System calls no external AI service. Machine text may contain only figures present in the input facts, and is labelled.

10.7. In an online order the AI text function is on by default. Under clause 10.6 it can be switched off for the Organisation at any time.

10.8. The Provider processes the data needed for the order and the contract (data of the Customer's representative and contacts, billing data, the log of acceptances) as an independent controller, in accordance with the privacy notice. It deletes an unverified e-mail address after 30 days and an unfinished Data sheet after 90 days.

11. Fees and payment

11.1. Fees are set out in the fee schedule of the Agreement, and for online orders in the price recorded in the Agreement; fees do not include value added tax.

11.2. The Provider issues electronic invoices according to the fee schedule or the plan. Payment term: 8 days from the invoice date.

11.3. In case of late payment the User pays default interest under Ptk. 6:155 and the flat-rate recovery cost. If payment is more than 8 days late, the Provider may suspend access after a written reminder and the fruitless expiry of an 8-day grace period.

11.4. For individual contracts the Provider may increase the fee on renewal by no more than the consumer price index published by the Hungarian Central Statistical Office (KSH) for the previous calendar year, if it gives written notice at least 30 days before the end of the season.

11.5. For online orders the price in the Price list published on the day of the order applies; the Agreement records that price, the plan, the add-ons and any discount. Prices are net amounts in euro; the Provider adds value added tax as required by law.

11.6. There is no online payment. Fees are payable only by bank transfer, outside the website and outside club.md1q.hu. The Provider sends a pro-forma invoice or an invoice separately by e-mail. The Provider does not request or store card or other payment data on the website or in the System.

11.7. For a User registered in another EU Member State with a valid EU VAT number, VAT is accounted for under the reverse charge rules, as shown on the invoice. For a User outside the EU, the place-of-supply rules apply.

11.8. Payment schedule by plan:

1. Annual contract paid monthly: the fee is payable in monthly instalments, monthly in advance; the User pays the fee for all 12 months during the contract year. 2. Monthly contract: the fee is payable monthly in advance. 3. Annual contract paid in advance: the annual fee is payable in one sum before Approval.

11.9. Payment is made on the day the amount is credited to the Provider's bank account 10103850-06262600-01005004 held with MBH Bank Nyrt. (IBAN: HU08 1010 3850 0626 2600 0100 5004; SWIFT/BIC: MKKBHUHB) with the reference shown on the pro-forma invoice or invoice. Bank charges are borne by the User.

11.10. Add-ons. The fee for an add-on is the monthly fee in the Price list; its term follows the contract period of the package. For annual plans the add-on fee is payable in one sum, pro rata for the remainder of the contract year.

11.11. Discount. The Customer flags the discount on the Data sheet and gives its justification. The Provider checks eligibility before Approval and may request evidence. If the discount is not justified, the Provider removes it and sends the Customer by e-mail a new offer at the price without the discount; the Customer accepts it by paying the price without the discount, or withdraws the order. If eligibility ends during the contract, the Provider charges the price without the discount from the next period. If eligibility proves unfounded because the Customer provided untrue information, the Provider may claim the amount of the discount from the start of the contract.

11.12. Price changes for online orders. The price does not change during the contract year. On renewal, the Price list in force on the day of renewal applies. For a monthly contract the Provider may change the price with at least 30 days' notice by e-mail; the User may then terminate before the change takes effect.

12. Liability

12.1. The System is a decision support tool. Forecasts, probabilities, suggestions and machine text are not guaranteed results. Every professional, sporting, transfer, editorial and business decision, in particular accepting or rejecting a match desk suggestion, is the responsibility of the User and its experts.

12.2. The Provider is not liable for the accuracy, completeness or availability of third-party data; it reports any error it detects to the source and marks it in the System.

12.3. Except in the cases set out in Ptk. 6:152, the Provider's liability for damage caused by breach of contract is limited per year to the fees actually paid in the 12 months preceding the damaging event; during a pilot, to the pilot fee. The Provider is not liable for lost profit or indirect damage.

12.4. Neither party is liable for delay caused by force majeure (in particular natural events, network or power outages, acts of authorities).

13. Confidentiality

13.1. The parties treat as trade secrets the content of the contract, the fees, and the other party's business, professional and technical information (on the User's side in particular watchlists, preparation materials and injury data; on the Provider's side the operation and methodology of the System). The Price list published on the website is not a trade secret.

13.2. Confidentiality survives for 5 years after the end of the contract; protection under Hungarian Act LIV of 2018 on the protection of trade secrets is independent of this.

14. References

14.1. The Provider uses the User's name, logo and opinion as a reference only within the consent given in the Agreement. For online orders there is no reference use without consent.

14.2. The Provider publishes a quote only with text approved by the User in writing. Consent may be withdrawn for the future with 30 days' notice; printed material already published is not affected.

14.3. The Provider does not use User data, watchlists or the User's internal analyses as a reference, in a case study or in a presentation in any form.

15. Term, suspension, termination

15.1. The term of the contract is set out in the Agreement. For individual contracts, a subscription renews at the end of the season for a further season unless either party terminates it at least 60 days before the end of the season. For online orders the term and renewal are governed by clauses 15.6–15.12.

15.2. A pilot can be concluded only by individual contract. A pilot ends on the date set out in the Agreement. Either party may also terminate it without reason with 15 days' notice; in that case the pro rata part of the pilot fee is refunded, the onboarding fee is not.

15.3. Extraordinary termination is permitted in case of a serious breach by the other party, in particular: breach of clause 5.3, breach of the prohibition in clause 6.2, late payment under clause 11.3 continuing despite a reminder, a critical fault under clause 8.4 lasting more than 30 days.

15.4. The Provider may suspend access in an emergency under clause 4.4 and in the case under clause 11.3; access is also suspended at expiry under clause 15.8. The data of a suspended Organisation are retained; automatic materials are not produced.

15.5. Data export and deletion. On a request submitted within 30 days after termination, the Provider provides User data free of charge in machine-readable form (a JSON file per table) and uploaded video files in their original form, in one ZIP file. On the 60th day after termination the Provider deletes the User data, the video files and, at the end of the backup cycle, the copies in backups, and confirms this in writing. Retention of accounting records is not affected.

15.6. Term for online orders:

1. Annual contract paid monthly and annual contract paid in advance: 12 months from the day of Approval. 2. Monthly contract: 1 month from the day of Approval, extended by 1 month each time the next monthly payment is recorded.

The last day of the period is still part of the contract.

15.7. Renewal. Annual plans do not renew automatically. The User may renew the contract before expiry; the new period then starts on the day after the end of the previous period, and the Organisation, accounts, data and settings remain unchanged.

15.8. Expiry. The System warns the Provider and the User 14 and 3 days before expiry. If renewal or payment does not take place, the Organisation is suspended and its accounts are disabled at 00:00 (Budapest time) on the day after the expiry date. When a renewal is recorded, access reopens; accounts disabled because of the suspension become active again, accounts disabled manually remain disabled. Without renewal the contract ends on the expiry date, and clause 15.5 applies.

15.9. Change of package. The User may move to a smaller package at the turn of the contract year if it requests the change in writing at least 30 days in advance. Before the change the User adjusts its accounts and watched teams to the limits of the smaller package; until it does so, the System does not allow new accounts or teams to be added. The User may move to a larger package at any time; the difference is payable pro rata.

15.10. Termination of a monthly contract. The User may terminate a monthly contract in writing with effect from the end of the current month, at least 5 days before the last day of the month. The fee for a started month is not refunded.

15.11. Annual contract paid monthly. The contract cannot be terminated by ordinary notice before the end of the contract year. In case of extraordinary termination by the User (clause 15.3), discontinuation of a function under clause 8.5, or an objection under clause 7.2 of the data processing agreement, monthly instalments not yet due are not payable. If the User is late with a monthly instalment as described in clause 11.3 and the additional period set in the reminder also expires without payment, the Provider may declare the remaining instalments of the contract year due at once. In case of extraordinary termination by the Provider, the Provider may claim compensation for the damage caused by the breach of contract instead of the instalments not yet due.

15.12. Annual contract paid in advance. The contract cannot be terminated by ordinary notice before the end of the contract year, and the prepaid fee is not refunded, except in case of extraordinary termination by the User (clause 15.3), the case under clause 8.5 and the case under clause 7.2 of the data processing agreement; in these cases the pro rata fee for the remaining period is refunded.

16. Final provisions

16.1. Amendments to the contract are valid only in writing; an e-mail counts as written if it comes from the address of a contact named in the Agreement or on the Data sheet and the other party confirms it.

16.2. The contract is governed by Hungarian law, in particular Act V of 2013 on the Civil Code and Act LXXVI of 1999 on copyright. The parties first try to settle disputes by negotiation; if this fails within 30 days, the parties submit the dispute to the exclusive jurisdiction of the Hungarian court having subject-matter competence and territorial competence for the Provider's registered office. For a User with its registered office in another Member State of the European Union, this clause is an agreement on jurisdiction under Article 25 of Regulation (EU) No 1215/2012.

16.3. If any provision of the contract is invalid, the other provisions are not affected; the parties replace the invalid provision with the valid provision closest to its purpose.

16.4. Language. A User with its registered office in Hungary receives the Terms, the Agreement and the data processing agreement in Hungarian; every other User receives them in English. For a Hungarian-language contract the Hungarian text prevails, and for an English-language contract the English text prevails; the version in the other language is then for information only. The German, Italian, Spanish, French and Portuguese translations are for information only and have no contractual effect.

16.5. Amendment of the Terms. The Provider may amend these Terms. It publishes an amendment on the website at least 30 days before it takes effect and sends it to Users by e-mail. For existing contracts the amendment applies from the start of the next contract year or renewal, and for monthly contracts from the next month, unless a change in law requires earlier application. If the User does not accept the amendment, it may terminate with effect from the date the amendment takes effect. If the User does not terminate by that date, the amendment is deemed accepted.

16.6. Notices. The parties communicate primarily by e-mail: the Provider from and to info@md1q.hu; the User from and to the address of the contact given on the Data sheet or in the Agreement. An e-mail is deemed delivered, unless proven otherwise, on the working day after sending if the sender has received no error message.

16.7. These Terms are effective from 25 October 2026 and apply to contracts concluded after their publication and, under clause 16.5, to existing contracts.
